Terms of Service

These terms explain what you can expect from Oqoqo and what we expect from you. They apply to our website, dashboard, CLI, MCP tools, APIs, agent experiments, and related services.

Your agreement with us

These Terms of Service (the “Terms”) are an agreement between Oqoqo, Inc. (“Oqoqo,” “we,” “us,” or “our”) and the person or organization that accesses or uses the Service (“you” or “Customer”). The “Service” means Oqoqo's websites, dashboard, CLI, MCP tools, APIs, agent eval platform, support, and related software and services.

You agree to these Terms when you create an account, accept an order form that refers to them, click to accept them, or use the Service. If you use the Service for an organization, you confirm that you have authority to accept these Terms for that organization. If you do not agree, do not use the Service.

You must be at least 18 years old and able to enter a binding contract. An order form or other signed agreement can add or change terms. If it conflicts with these Terms, the signed agreement controls for that conflict.

Accounts and organizations

  • Give us accurate account and billing information and keep it current.
  • Keep login details, API keys, tokens, and devices secure. Do not share an individual account.
  • Tell us promptly at support@oqoqo.ai if you suspect unauthorized access.
  • You are responsible for activity under your account unless you told us about unauthorized use and took reasonable steps to stop it.

An organization's owners and administrators can manage members, projects, connected services, billing, and Customer Content. Your organization decides who has access and is responsible for its users. If you join an organization, its administrators can control your access to organization data.

Using the Service

Subject to these Terms and any plan limits, we give you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. You can also use the CLI, MCP tools, and APIs as documented to operate your Oqoqo projects.

Service limits can include run balances, concurrency, storage, model availability, or request limits. We may enforce reasonable limits to protect the Service and other customers. We do not promise a service level unless a signed agreement states one.

Customer Content

“Customer Content” means the content you or your users submit to or create through the Service. It can include project files, repository data, task instructions, rubrics, treatments, environment settings, prompts, tool results, transcripts, run artifacts, and eval results. Customer Content does not include our software or aggregated data that does not identify you or any person.

You own your content

As between you and Oqoqo, you keep all rights in Customer Content. You give us and our service providers a worldwide, non-exclusive right to host, copy, transmit, process, display, and modify Customer Content only as needed to provide, secure, maintain, and support the Service, follow your instructions, and comply with law. This right ends when the content is deleted from our active systems, subject to normal backup, security, and legal retention.

We do not sell Customer Content, use it to train models, or use identifiable run traces to develop products unrelated to the Service. We can use aggregate or de-identified operational data to operate, secure, measure, and improve the Service if it cannot reasonably identify you, your organization, or any person.

Your responsibilities

You confirm that you have the rights, notices, and permissions needed for Customer Content and for the instructions you give us. Do not submit regulated health data, payment-card data, government identity numbers, or other highly sensitive personal data unless we have agreed in writing that the Service supports it.

Keep your own copies of important content. The Service includes export and deletion tools for supported resources, but it is not a general backup service.

Agents, evals, and AI

Agents can run commands, read and change files, call tools, access connected systems, and produce incorrect results. Use least-privilege credentials, test in safe environments, and review important work.

Oqoqo runs agentic workflows in isolated, production-like sandboxes. The Service records evidence such as commands, file activity, tool calls, errors, transcripts, outputs, and eval verdicts so you can compare results. A sandbox is destroyed after its work is complete, but selected traces, results, and artifacts remain in the Service as Customer Content.

AI and agent output is probabilistic. It can be incomplete, incorrect, unsafe, or similar to output for another customer. Evals measure the tasks, rubrics, agents, models, and conditions you selected; they do not prove that a system is safe or correct in every setting. You are responsible for how you use output and for human review where the risk requires it. Do not use the Service as the sole basis for medical, legal, financial, employment, housing, credit, insurance, or other high-impact decisions about a person.

Connected services

You can connect model providers, repositories, MCP servers, CLIs, SDKs, APIs, subscription accounts, and other third-party services. You direct us to exchange Customer Content and credentials with those services as needed for your configuration and runs.

You must have the right to use each connected service and credential. The third party's terms, privacy notice, security, data use, availability, and charges apply to its service. We do not control a third-party service and are not responsible for its acts or failures. Disconnect a service if you no longer want Oqoqo to access it.

Acceptable use

You must not use the Service to:

  • break the law or violate another person's rights;
  • access, test, scan, disrupt, or damage systems, accounts, or data without clear authorization;
  • distribute malware, harmful code, spam, phishing, or deceptive content;
  • bypass security, usage, billing, access, or rate controls, or hide the source of abusive traffic;
  • submit secrets, personal data, repositories, or other content you do not have permission to use;
  • interfere with the Service or another customer, or place an unreasonable load on shared systems;
  • resell or provide the Service to third parties as a service bureau without our written permission; or
  • reverse engineer the Service or try to obtain its source code, except where law does not allow this restriction.

We can investigate suspected misuse and limit or suspend access when reasonably needed to protect customers, third parties, or the Service.

Plans, runs, and payment

Plans and renewal

Prices, included runs, billing intervals, and plan features are shown at purchase or in an order form. A paid plan renews automatically for the same interval. To cancel it, use the online billing controls to schedule a move to the Free plan. The move takes effect at the end of the current paid billing period. Until then, you keep the paid plan and its features. We charge the saved payment method at the start of each billing period. Unused plan runs do not roll over to the next billing period.

Top-up runs

Top-up runs are a separate, one-time purchase. Top-up runs never expire. Errored or cancelled runs do not count against your organization's pool. If a top-up payment is refunded or disputed, we remove the complete run grant linked to that payment, including any unused balance.

Charges, taxes, and changes

You authorize us and our payment provider to charge all fees and applicable taxes. Fees are non-refundable except where the purchase terms say otherwise or law requires a refund. We can suspend paid features after a failed payment. We will give reasonable advance notice of a price change, and it will apply no earlier than your next renewal unless you accept an earlier change.

Confidentiality

Each party can receive non-public business, technical, or financial information from the other. Customer Content is your confidential information. Non-public information about the Service is ours. The receiving party will use confidential information only for this agreement and protect it with reasonable care. It can share the information only with people and service providers who need it and must protect it.

These duties do not cover information that the receiving party can show was already known without restriction, became public without a breach, came lawfully from another source, or was developed independently. A party can disclose information when law requires it. Where allowed, it will give advance notice and reasonable help to limit the disclosure.

Our technology

Oqoqo and its licensors own the Service, documentation, design, software, and related intellectual property. These Terms do not give you ownership of them. Open-source components remain subject to their own licenses.

If you give us feedback, you allow us to use it without restriction or payment. We will not identify you as its source without permission.

Privacy and security

Our Privacy Policy explains how we handle personal information. When we process personal data in Customer Content for your organization, you are responsible for your instructions and legal basis. Contact us if you need a data processing addendum.

We use reasonable administrative, technical, and organizational safeguards designed to protect the Service and Customer Content. No online service is completely secure. You are responsible for secure configurations, least-privilege credentials, and the systems that you connect.

Suspension and termination

You can stop using the Service at any time. You can delete your user account from Profile settings. Deleting a user account removes that user and their organization memberships; it does not automatically delete content that belongs to an organization.

We can suspend or terminate access if you materially breach these Terms, do not pay fees when due, create a security or legal risk, or use the Service in a way that could harm others. We will give notice and a chance to fix the issue when reasonable, but we can act at once for urgent risk.

Before access ends, export Customer Content you need. After termination, we may delete it from active systems after a reasonable wind-down period, subject to legal duties and backups. Terms that by their nature should continue will survive, including payment, ownership, confidentiality, disclaimers, liability limits, and dispute terms.

Service changes and previews

We improve the Service and can add, change, or remove features. If a change materially reduces a paid core feature, we will give reasonable notice when practical. Preview, beta, experimental, or free features can change or end at any time and may be less reliable than generally available features.

Disclaimers

To the maximum extent allowed by law, the Service, previews, and output are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or suitable for every use, or that agent or AI output will be accurate.

These disclaimers do not remove any warranty or right that law does not allow us to exclude.

Limits on liability

To the maximum extent allowed by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, or data, even if it knew those losses were possible.

Each party's total liability arising from the Service or these Terms will not exceed the greater of US $100 or the amount you paid Oqoqo for the Service during the 12 months before the event that caused the claim. This limit applies across all claims and legal theories.

These limits do not apply to payment duties, misuse of the other party's intellectual property, fraud, willful misconduct, gross negligence, or liability that law does not allow a party to limit.

Your responsibility for claims

You will defend Oqoqo and its personnel from a third-party claim that results from Customer Content, your connected services, your violation of another person's rights, or your material breach of these Terms. You will pay damages and reasonable costs finally awarded or agreed in a settlement you approve. We will promptly tell you about the claim, give you reasonable help, and let you control the defense. You cannot settle a claim in a way that admits fault by Oqoqo or requires Oqoqo to act without our written consent.

Disputes and governing law

Before filing a claim, each party will try in good faith for 30 days to resolve it through written notice. Send a notice to support@oqoqo.ai and describe the issue and the relief you seek.

California law governs these Terms, without regard to conflict-of-law rules. The state and federal courts located in San Francisco County, California, have exclusive jurisdiction, and each party consents to those courts. Either party can seek urgent injunctive relief to protect security, confidential information, or intellectual property.

General terms

  • Changes. We can update these Terms. We will post the new date and give reasonable advance notice of a material change by email or in the Service. Changes do not apply retroactively. If you keep using the Service after they take effect, the updated Terms apply.
  • Notices. We can send notices to your account email or through the Service. Keep your email current.
  • Assignment. You cannot assign these Terms without our written consent. We can assign them as part of a merger, reorganization, sale of assets, or transfer to an affiliate.
  • Entire agreement. These Terms and any signed order form are the complete agreement about the Service and replace earlier discussions about it.
  • Severability and waiver. If a term cannot be enforced, the rest remains in effect. A delay in enforcing a term is not a waiver.
  • Events beyond control. Neither party is liable for delay caused by events outside its reasonable control, except for payment duties.
  • Relationship. The parties are independent contractors. These Terms do not create a partnership, agency, employment, or third-party beneficiary.
